Terms of Service

1. Agreement to Terms

By accessing or using MVPSalesBuddy (the "Service"), operated at mvpsalesbuddy.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

MVPSalesBuddy is an AI-powered sales coaching platform that:

  • Accepts uploaded audio recordings of sales and support calls
  • Deploys meeting bots to join and record live meetings on Zoom, Google Meet, and Microsoft Teams
  • Transcribes call recordings using AI
  • Provides AI-generated performance scores, coaching feedback, and improvement recommendations
  • Tracks your performance over time with analytics and progress charts

3. Account Registration

  • You must sign in using a valid Google account via Google OAuth.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
  • You are responsible for all activity that occurs under your account.
  • You must not share your account credentials or allow others to access your account.
  • You agree that the information provided through your Google account is accurate and current.

4. Plans and Pricing

Free Tier

All users receive 15 minutes of free call analysis. No credit card is required for the free tier. Once your free minutes are exhausted, you will need to upgrade to continue using the Service.

Pro Plan

  • The Pro plan is available at $20 per month and provides unlimited call analysis.
  • Pricing is subject to change with reasonable advance notice.
  • Subscriptions are billed on a recurring monthly basis. You may cancel at any time; your access will continue until the end of the current billing period.
  • Refunds are handled on a case-by-case basis at our discretion.

5. Recording Consent and Compliance

This section is critically important. Please read it carefully.

  • You are solely responsible for obtaining all necessary consents and permissions before recording any call or meeting using the Service.
  • Recording laws vary significantly by jurisdiction. Some jurisdictions require the consent of all parties to a conversation ("two-party consent" or "all-party consent"), while others require only the consent of one party ("one-party consent").
  • When using the meeting bot feature, you must inform all meeting participants that the meeting is being recorded and obtain their consent where required by law.
  • MVPSalesBuddy does not provide legal advice and makes no representations about the legality of recording in your jurisdiction.
  • You agree to indemnify and hold us harmless from any claims arising from your failure to obtain proper recording consent.

6. Acceptable Use

You agree not to:

  • Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Use the Service for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or overload our infrastructure
  • Use automated means (bots, scrapers) to access the Service without our prior written consent
  • Resell, sublicense, or redistribute the Service or its outputs

7. Intellectual Property

Your Content

You retain full ownership of all audio recordings, transcripts, and other content you upload to or create through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, revocable license to process Your Content solely for the purpose of providing the Service to you.

Our Content

MVPSalesBuddy and its original content, features, functionality, branding, and design are owned by us and are protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

AI-Generated Output

Analysis results, coaching feedback, performance scores, and improvement recommendations are generated by artificial intelligence. These outputs are provided for your personal use and should not be considered professional sales training, legal advice, or a substitute for human judgment.

8. Disclaimers

  • The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
  • AI-generated analysis and coaching feedback are not a substitute for professional sales training, business advice, or legal counsel.
  • We do not guarantee the accuracy, completeness, or reliability of transcriptions or AI analysis results.
  • We are not responsible for business decisions made based on our analysis outputs.
  • We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
  • In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
  • These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless MVPSalesBuddy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your failure to comply with applicable recording consent laws.

11. Termination

  • We may suspend or terminate your access to the Service at our sole discretion, with or without cause, and with or without notice.
  • You may stop using the Service at any time.
  • Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
  • You may request deletion of your data following termination by contacting us at support@mvpsalesbuddy.com.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
